Advisory Services

Two pillars of work, coordinated through one relationship.

Structuring

The technical work. When complexity, jurisdictions, or regulation demand specialist expertise, the kind usually available only through international law firms and Big Four tax practices, we design, coordinate, and execute.

01

Cross-Border Structuring

Entrepreneurs across the EU increasingly operate across multiple jurisdictions: holding companies in one country, operating businesses in another, family members resident in a third. Poorly designed structures create tax friction, regulatory mismatch, and succession risk. We scope your situation, brief the right structuring counsel in the relevant jurisdictions, and coordinate the work to deliver an architecture that aligns fiscal efficiency, EU compliance, and the family's actual operational reality.

Typical deliverables

  • Coordination of jurisdictional analysis and DTT mapping with a structuring partner
  • Selection and briefing of structuring counsel across EU jurisdictions, including Luxembourg vehicles such as SOPARFI, SICAV, and securitisation entities
  • Coordination of local tax optimisation and transfer-pricing work with qualified advisors
  • Notary, corporate lawyer, and local director coordination across jurisdictions
  • Supervision of substance and ATAD / BEPS compliance planning by qualified counsel

How it works

01
Asset Inventory

A complete cross-border asset and structure inventory across all relevant jurisdictions.

02
Structuring Memorandum

Written analysis with options, trade-offs, and tax implications for each structure.

03
Implementation

Coordination with local professionals in each jurisdiction to execute the chosen strategy.

We provide structuring analysis and coordination, not tax advice. Tax recommendations are delivered by qualified fiscal consultants from our partner network. We ensure your tax advisor has the full cross-border picture to inform their recommendations.
02

Regulatory & Compliance

European financial regulation is no longer a back-office concern. MiFID II client classification determines what services you can access. AIFMD2 reshapes how private funds must be structured and marketed. Each EU jurisdiction has its own licensing regime governing regulated activity. We coordinate with the regulated counterparties involved (brokers, custodians, fund administrators) to translate these frameworks into concrete decisions about vehicle, classification, and documentation on your behalf.

Typical deliverables

  • Coordination of MiFID II client classification and suitability documentation with the right counterparties
  • Briefing and supervision of AIFMD2 implementation and EU fund passporting through licensed managers
  • Mapping of regulatory pathways and selection of the appropriate licensed entity in your jurisdiction
  • Coordination of KYC/AML framework design with the licensed entities involved
  • Ongoing coordination with licensed brokers, custodians, and fund administrators

How it works

01
Position Assessment

We determine which regulations apply to your specific situation and which do not.

02
Documentation

Preparation of required documentation and identification of gaps in your current compliance.

03
Ongoing Monitoring

Ongoing monitoring, with alerts when regulatory changes affect you.

We provide regulatory analysis and documentation support. Formal regulatory filings and licensed activities are performed through ASF-authorised entities.
03

Transaction Intermediation

When your advisory plan requires execution (buying bonds, placing an order on the Bucharest Stock Exchange, settling a cross-border transaction), somebody needs to handle the mechanics through regulated channels. Many families do not know which licensed entity to use, what fees are standard, or how settlement actually works across jurisdictions. We coordinate the execution through licensed intermediaries, including our own where the economics make sense for the client, with full fee transparency before anything proceeds.

What we do

  • Order placement coordination through licensed intermediaries
  • Settlement coordination across Romanian and European clearing systems
  • Custodian account setup and management facilitation
  • Access to MTF-listed instruments, including Portfolio Stock Exchange and other EU multilateral trading facilities
  • Corporate action processing and monitoring
  • Fee transparency: full disclosure of all transaction costs before execution
  • Post-trade reporting and record-keeping

How it works

01
Transaction Scoping

We define the instrument, size, and timeline together with you.

02
Entity & Fee Disclosure

Selection of the appropriate licensed entity with full fee transparency before proceeding.

03
Execution & Settlement

Execution coordination, settlement confirmation, and post-trade documentation.

Elian Partners does not execute transactions directly. All execution is facilitated through entities licensed by ASF or equivalent EU regulators. Introducer fees, where applicable, are disclosed to the client in advance per our fee transparency policy.

Coordination

The ongoing relationship. Day-to-day, year-to-year: a single point of contact across your family's advisory team, the memory of every decision, and the person who notices when something does not add up.

04

Family Office Coordination

You have a banker, a lawyer, an accountant, and possibly a tax advisor. Each operates independently, and nobody has the full picture. Gaps go unnoticed, fees get missed, and opportunities slip when one advisor does not know what the other is doing. We become the relationship that coordinates them all and keeps the whole picture in view.

What we do

  • Map your complete financial landscape: assets, liabilities, advisory relationships, banking, insurance, real estate
  • Identify gaps, overlaps, and conflicting advice across your existing professionals
  • Serve as your single point of contact for all financial coordination matters
  • Monitor and benchmark fees across your service providers
  • Coordinate meetings between your advisors when their work intersects
  • Produce a consolidated wealth overview, updated quarterly
  • Facilitate introductions to vetted professionals where gaps exist

How it works

01
Assessment

We map your complete financial landscape and every professional relationship currently in place.

02
Coordination Plan

A plan with action items and recommended changes across your advisory team.

03
Ongoing Review

Quarterly reviews, with direct coordinator access on WhatsApp and email in between.

We do not manage assets, execute trades, or provide personalised investment recommendations. Where these services are needed, we coordinate with licensed entities on your behalf.
05

Governance & Succession

Most family wealth does not survive the second generation. The cause is rarely bad investments. Usually it is unclear decision-making, unprepared heirs, and unresolved family dynamics. Romanian succession law adds forced heirship rules that many families only discover when it is too late. We facilitate the conversations and coordinate with notaries and legal counsel to put the right structures in place before they are needed.

What we do

  • Facilitation of Family Charter development covering roles, responsibilities, values, and decision-making processes
  • Succession planning aligned with Romanian civil and commercial law, coordinated with notary and legal partners (including forced heirship analysis)
  • Next-generation preparation through structured financial education programmes
  • Family meeting facilitation with structured agendas and documented outcomes
  • Governance framework design for family-owned businesses (board structures, shareholder agreements, exit mechanisms), with legal counsel coordination
  • Coordination with notaries and legal counsel for testament and donation structures
  • Structures to resolve conflict before disputes escalate

How it works

01
Family Assessment

Confidential interviews with key family members to understand dynamics, priorities, and concerns.

02
Governance Framework

Draft governance framework and succession roadmap fitted to your family's situation.

03
Adoption & Review

Facilitated family meeting to adopt the charter, followed by annual governance reviews.

We facilitate governance discussions and coordinate with legal professionals. We do not provide legal advice. Testament drafting and notarial acts are performed by qualified professionals from our partner network.
06

Due Diligence & Vetting

Before committing capital, you need to know who you are dealing with. The Romanian and CEE markets have a higher proportion of opaque structures, unverifiable track records, and entities operating at the edge of regulatory boundaries. A polished website and a confident pitch are not substitutes for primary-source verification. We do this verification ourselves, working from corporate registries, regulatory filings, and primary-source documentation.

What we do

  • Corporate registry and beneficial ownership verification across relevant jurisdictions
  • Regulatory status confirmation with supervisory authorities (ASF, FCA, FINMA, and equivalent bodies)
  • Management background checks and credential verification
  • Fund structure analysis: legal structure, fee layers, liquidity terms, and track record validation
  • Counterparty risk assessment for transaction partners
  • Virtual office and shell company identification
  • Written due diligence report with clear findings, risk flags, and recommendations

How it works

01
Scope Definition

We define the entity in question and the specific questions that need answering.

02
Investigation

Primary-source investigation, typically completed within five to ten business days.

03
Written Report

A detailed report with findings, flags, and actionable next steps delivered to you.

Our reports present factual findings from primary regulatory and corporate sources. We do not provide investment recommendations. The decision to proceed with any counterparty or opportunity remains with the client.
